Compensation and Nomination Committee
The Compensation and Nomination Committee advises the Board on all human resources related matters and nominations to be made or recommended by the AFRC.
Dr. Sun is the Chairman of the Accounting and Financial Reporting Council. He held the position of Director of Audit at the Audit Commission of the Hong Kong SAR Government from 2012 to 2018. Before joining the Hong Kong Government, Dr. Sun served as the Chairman and Managing Partner of Ernst & Young Greater China and the Far East and was a member of the Ernst & Young Global Executive Board from 2006 until his retirement in 2010. In 2003, he was the President of the Hong Kong Institute of Certified Public Accountants.
Throughout his career, Dr. Sun has held numerous significant roles, including Chairman of the Council at City University of Hong Kong, Chairman of the Mandatory Provident Fund Schemes Advisory Committee, and a member of the Exchange Fund Advisory Committee of the Hong Kong Monetary Authority. He has also served as a Non-Executive Director for the Hong Kong Mortgage Corporation and the Mandatory Provident Fund Schemes Authority, Treasurer for both the Hong Kong University of Science and Technology and Hong Kong Metropolitan University, and a member of the Listing Committee of The Stock Exchange of Hong Kong. Additionally, he has contributed to the Process Review Panel for the Securities and Futures Commission and has been a member of the Hong Kong Housing Authority.
Dr. Sun obtained a Bachelor’s degree of Science in Business Administration from Kansas State University in United States of America, a Master’s degree in Accounting Science from University of Illinois at Urbana-Champaign, and an Honorary Doctorate of Business Administration from the Hong Kong Metropolitan University. He is a fellow member of the Hong Kong Institute of Certified Public Accountants and a member of the American Institute of Certified Public Accountants.
Ms Kwok has been serving China Construction Bank (Asia) Corporation Limited for over 37 years and is now the Non-Executive Director of the bank. She is the Chairman of the Process Review Panel for Securities and Futures Commission, and a member of the Council of City University of Hong Kong, Risk Management Committee of the Hong Kong Exchanges and Clearing Limited, as well as the Standing Committee on Judicial Salaries and Condition of Service. Ms Kwok graduated with an Honorable Bachelor of Social Sciences Degree in Economics and Management from the University of Hong Kong in 1984, and graduated with honors from the Graduate School of Retail Bank Management of the Consumer Bankers Association in the United States in July 2001.
Mr Best was a partner of Deloitte Touche Tohmatsu and is a former President of the Hong Kong Institute of Certified Public Accountants. He has chaired the Hong Kong Institute of Certified Public Accountants Financial Reporting Standards Committee and has also been a member of the Standing Committee on Company Law Reform, the Stock Exchange Listing Committee, the Securities and Futures Appeals Tribunal, the Quality Assurance Council of the University Grants Committee, the Hong Kong Council for the Accreditation of Academic and Vocational Qualifications and the IFRS Advisory Council.
Ms Lai is the Chief Executive Officer (CEO) and Executive Director of the AFRC since April 2024. Ms Lai joined the AFRC in August 2022 as the Head of Inspection and took on the additional role of Acting CEO in October 2023. With decades of experience in Mainland China and Hong Kong, her background includes auditing, talent development and business transformation. Ms Lai has extensive knowledge of regulatory frameworks and cross-border compliance. Before joining the AFRC, Ms Lai was a Partner of two leading international accounting firms for over 17 years. She has a Bachelor of Economics from the University of Sydney and is a fellow member of the Hong Kong Institute of Certified Public Accountants and CPA Australia.
Ms Leung is a seasoned HR executive with over 30 years of experience across Asia, the UK, and Europe. Until her retirement in January 2025, she held dual roles as General Manager, Group People & Culture Services for Jardine Matheson and People & Culture Director of Jardine Pacific. She led initiatives in HR and talent strategy, leadership development, cultural transformation, and top executive compensation and reward, and established the Group’s grading system impacting over 200,000 employees. Hayly also pioneered Jardine’s first Group Wellness Program. Her governance experience and global perspective make her a valued advisor on people and organizational matters.
Janet Li, CFA, MAoF, is the Chief Executive Officer of BEA Union Investment. Prior to joining BEA Union Investment, she was the Wealth Business Leader for Asia and a Partner at Mercer where she led the Retirement and Investment business of the firm in the region. Janet is a Member of the Human Capital Committee of the Financial Services Development Council. She is also an Adjunct Associate Professor of The Faculty of Business and Economics at The University of Hong Kong.
